OMV and XRG, ADNOC’s international investment arm, have completed the transactions to form Borouge International, a new global polyolefins leader created by combining Borouge Plc, Borealis, and the acquisition of NOVA Chemicals. The new entity becomes the world’s largest pure‑play polyolefins company and the fourth‑largest producer globally.

Headquartered in Austria with regional HQs in the UAE, Borouge International brings together a highly diversified production footprint across three continents, advantaged feedstock access, and strong innovation capabilities supported by R&D centres in Europe, North America, and Asia.

The company expects over USD 500 million in annual EBITDA synergies, with 75% targeted within three years. Backed equally by OMV and XRG, Borouge International aims to accelerate growth in key sectors including energy, mobility, AI infrastructure, sustainable packaging, and healthcare. Its combined production capacity reaches 13.6 million tons per year, including future expansion through the Borouge 4 project.

A seasoned leadership team has been appointed, led by CEO Roger Kearns. Credit ratings from S&P, Moody’s, and Fitch confirm a strong capital structure supporting long‑term growth.

GPCA extends its congratulations to ADNOC and its partner on the formation of Borouge International and wishes the new company continued success.
